Terms of Service

Welcome to Sundra. These Terms of Service (“Terms”) govern your access to and use of the website (www.sundra.io) and the video processing platform (the “Service”) provided by Sundra ehf. (“Sundra,” “we,” “us,” or “our”), a company registered at Stórhöfða 33, 110 Reykjavík, Iceland.

By creating an account or using the Service, you, the customer (“Customer”), agree to be bound by these Terms. If you are using the Service on behalf of an organization (such as your employer), you agree to these Terms on behalf of that organization.

1. The Service

Sundra provides AI-driven software-as-a-service (SaaS) tools for captioning, translation, and summarization of video and audio and text content. The Service is primarily designed for business use and HR teams.

2. Accounts and Access

  • Eligibility: You must be at least 18 years old to use the Service.
  • Individual Use: Accounts are for individual use only. Account sharing is strictly prohibited. You may grant access to others only by adding them as separate users under your organization’s plan.
  • Responsibility: You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.

3. Subscriptions, Billing, and Refund Policy

  • Merchant of Record: Our order process is conducted by our online reseller Paddle.com. Paddle is the Merchant of Record for all our orders. Paddle provides all customer service for payment-related inquiries and handles returns/taxes.
  • Billing: Subscriptions are billed in advance on a monthly or annual basis.
  • Due Date: For automated plans, payment is due and will be processed immediately upon the presentation of an invoice or the start of the billing cycle.
  • Manual Invoicing: For customers on a manual invoicing arrangement (e.g., Enterprise), payment is due within 14 days of the invoice date unless otherwise specified in a written agreement.
  • Free Trial: We offer a 14-day free trial on selected plans. A valid credit card is required to start a trial. At the end of the trial period, the selected plan’s fee will be automatically charged unless you cancel before the trial expires.
  • Taxes: All fees are subject to applicable taxes (including Icelandic VAT), which will be calculated and collected by Paddle at the time of purchase.
  • Refund Policy: As our Service provides immediate access to digital resources and AI processing power, we do not offer refunds for partial months of service or for unused time within a subscription period.
  • Exceptions: Any refunds or credits issued are at the sole and absolute discretion of Sundra. In the event of a verified technical failure that prevents access to the Service for an extended period, Sundra may choose to provide a credit or refund; however, the provision of such a credit does not obligate Sundra to provide similar credits in the future.
  • Cancellation: You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to the Service until the end of your current billing period or Custom Agreement (see below).
  • Custom Agreements: These Terms apply to all users unless a separate written agreement (such as an Enterprise Contract or Order Form) has been signed between Sundra and the Customer. In the event of a conflict between these Terms and a signed written agreement, the terms of the signed agreement shall prevail.
  • Termination for Non-Payment: We reserve the right to suspend or terminate access if payment is not successfully settled.

4. Content and Intellectual Property

  • Your Content: You retain full ownership of all video, audio, and text you upload to the platform (“Input”).
  • Sundra Output: You own all transcripts, translations, and summaries generated by the Service based on your Input (“Output”).
  • License to Us: You grant Sundra a worldwide, non-exclusive, royalty-free license to process your Input and Output solely to provide the Service to you.
  • Sundra’s IP: The Service, including its interface, design, and proprietary AI workflows, is the intellectual property of Sundra ehf. You may not copy, modify, or distribute any part of our platform, except embedding snippets generated for that specific purpose.
  • Restrictions: You agree not to:
    • Reverse engineer, decompile, or attempt to extract the source code of the Service.
    • Use the Output or the Service to train, develop, or improve a competing machine learning or artificial intelligence model.

5. User Warranties and Compliance

By uploading content to Sundra, you warrant and represent that:

  • You have obtained all necessary consents and permissions from every individual appearing in your video or audio files to process their data.
  • Your content does not infringe on any third-party intellectual property rights.
  • You will not use the Service to create deepfakes or intentionally misleading, defamatory, or harmful captions.
  • You will not upload illegal or offensive content, including hate speech or harassment.

6. AI Accuracy and "Human-in-the-Loop"

  • Hallucinations: You acknowledge that the Service uses artificial intelligence, which may occasionally produce inaccurate information, errors in translation, or "hallucinations" (content not present in the original Input).
  • Human Review: The Service is designed to assist humans, not replace them. You agree that all Output should be reviewed by a human for accuracy, especially when used for HR, legal, or high-stakes business decisions.
  • Disclaimer: Sundra makes no guarantees regarding the 100% accuracy of its transcriptions or translations.

7. Data Retention and Responsibility

  • Responsibility to Export: You are responsible for exporting and backing up your data.
  • Post-Cancellation: Upon cancellation of your subscription, Sundra will retain your data for 30 days as a courtesy to allow for account recovery. After this period, your data will be permanently deleted. Sundra is not liable for any loss of data following this 30-day window.
  • Feedback and Service Improvements: You may provide Sundra with glossaries, custom vocabularies, or manual corrections to transcripts ("Feedback"). By providing Feedback, you grant Sundra a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to use, incorporate into the Service, and reproduce such Feedback for the purpose of improving our transcription and translation models. We will ensure that any such use is de-identified or aggregated where possible to protect your privacy.

8. Availability and Maintenance

  • "As-Is" Basis: The Service is provided on an “as-is” and “as-available” basis. We do not guarantee uninterrupted uptime.
  • Maintenance: We will strive to provide at least 2 hours’ notice for any scheduled maintenance that is expected to result in significant platform downtime.

9. Limitation of Liability

To the maximum extent permitted by Icelandic law, Sundra ehf. shall not be liable for any indirect, incidental, or consequential damages (including loss of profits or data) arising from:

  • Errors or inaccuracies in AI-generated Output.
  • Platform downtime or technical issues.
  • Unauthorized access to your data resulting from your failure to secure your account.

Our total liability for any claim shall not exceed the amount you paid to us (via Paddle) in the 12 months preceding the claim.

10. Termination

We reserve the right to suspend or terminate your account immediately, without notice, if:

  • You breach these Terms.
  • Your use of the Service poses a security risk or reputational risk to Sundra ehf.
  • We are required to do so by law.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of Iceland. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the District Court of Reykjavík (Héraðsdómur Reykjavíkur).
